Partner Agreement
Castellum Partner Agreement (referred to as the “Agreement”)

Castellum Marketing Ltd, the company acting and organized under the laws of the Republic of Cyprus, with address: 32, Kritis Street, 3087, Limassol, Cyprus. Company Number: ΗΕ 436433
This is an Agreement between Castellum Marketing Ltd (Cyprus) (hereafter collectively referred to as “Castellum”, “We”, etc.) and You (referred to as the “Affiliate”, “Partner”, “Advertiser” “You”, “Yours”, etc.) describing the terms and conditions connecting Advertisers and Affiliates globally through Castellum Offers (“Offers”) aiming to facilitate your product monetisation and promotion by Castellum Service (the “Service”). The Agreement applies to your participation in our Program (“Program”), which is extended by Castellum via www.castellum.ltd and Your account.
Castellum and Partner hereby enter into the following agreement:
By checking the designated box and clicking the “I accept” button, as applicable, and/or by engaging in an Offer, or by continuing to engage in the Service subsequent to our publication of the revised version of this Agreement on our site, you (1) affirm your awareness of and compliance with this Agreement and agree to be bound by its terms; (2) acknowledge that each Offer may contain additional terms and conditions on pages within the Castellum network, which are incorporated into this Castellum Partner Agreement; (3) confirm that your decision to participate in the Service/Program/Offers is based on your independent evaluation and not on any representation, guarantee, or statement other than as expressly set forth in this Agreement; (4) represent and warrant that you are authorized and legally capable of entering into this Agreement and will remain compliant with its terms; and (5) consent to receive from us newsletters, traffic monetization insights, promotions directly to your email.
Definition of Terms
Ad/s or Advertisement/s
Refers to link/s, graphical, interactive, and video advertisement/s, including but not limited to banner/s, button/s, pop-up/s, and pop-under/s or other creative materials generated by advertisers’ online servers in response to Castellum’s queries.
Advertiser
Refers to any individual or entity entering this Agreement with Castellum, seeking Service for the creation, management, and promotion of your advertising campaigns and product monetization as outlined herein. The Advertiser is responsible for setting forth requirements and specifications for Ad/s or Advertisement/s essential to fulfilling Offer/s effectively.
Affiliate
Refers to a party entering into this Agreement and engaging Castellum to provide Service/s as per the terms and conditions specified herein. Operating as the proprietor/administrator/controller of a website/s and(or) Traffic source/s and duly authorized to enter into this Agreement, you are becoming an Affiliate and/or participating in an Offer and display/use/place/link/promoting specific Ad/Advertisements on your website/s and(or) Traffic source/s to achieve successful completion of the respective Offer through Qualified Actions by end user/s.
Affiliate Account/Advertiser Account/Account
Refers to the Affiliate’s account on the Castellum site www.castellum.ltd.
Content
Includes textual, visual, or audio content encountered on the Affiliate’s website/s and(or) Traffic source/s. This may encompass documents, data, images, audio and video files, applications, e-services, archived email messages, personal web pages, etc.
Castellum Affiliate Offer/s
Denotes Offers available to Affiliates in the Castellum network, each offer detailing specifications concerning Ad/s or Advertisement/s to be displayed/used/placed/linked/promoted on the Affiliate’s website/s and(or) Traffic source/s. Offers are considered completed upon the Qualified Actions of end user/s.
Castellum Network
Signifies Castellum’s network offering the Service to Affiliates, accessible at www.castellum.ltd, encompassing Advertisers and Affiliates.
Confidential Information
Comprises information, regardless of format (written, oral, visual, electronic, etc.), pertaining to the Service/s and/or the business of a party and treated as confidential or proprietary. This includes, but is not limited to, (1) information marked as “Confidential,” “Proprietary,” or similar by the disclosing party (“Discloser”) upon disclosure to the receiving party (“Recipient”); and (2) information and data provided by the Discloser that should reasonably be considered confidential or proprietary given the circumstances surrounding the disclosure.
Campaign
Denotes strategic manoeuvres devised by a Castellum representative, under Advertiser instructions, aimed at enhancing visitor flow to the Advertiser’s or its partner websites, boosting sales, and/or acquiring fresh clientele.
Effective Date
Denotes the date upon which the Affiliate adopts the terms of this Agreement or, if no signature is present, the date upon which the Affiliate establishes an Affiliate Account with Castellum.
Link
Signifies any hyperlink furnished by the Advertiser to Castellum utilized for formulating Offer/s and delivering Service as detailed in this Agreement.
Qualified Action
Refers to an instance where (1) an individual accesses Ad/s displayed/used/placed/linked/promoted on the Affiliate’s website/s or/and Traffic source/s, (2) is not a computer-generated user (e.g., robot, spider, automated script or any other automated, artificial, or deceptive method designed to simulate an individual, person), (3) is not incentivized or using pre-populated fields, (4) completes all necessary information within the timeframe specified by Offers, and (5) is not later determined by Castellum to be fraudulent, incomplete, unqualified, or a duplicate.
Traffic source
Encompasses any and all website/s, doorway/s, social network/s, email marketing channel/s, Traffic source/s of the Affiliate, and/or any other Traffic source accessible to the Affiliate within each Offer through the Castellum Network for the provision of Services under the terms of this Agreement.
Service
Application and Registration: Castellum offers You the chance to engage with its Service and(or) Program, involving the direction and oversight of Ad Campaign/s and(or) Offer/s, and granting approval before their deployment across the Castellum Network. Castellum commits to monitoring, tracking, and reporting its Service according to its criteria and timetable. To become a Partner, you must first submit an accurate application for a Castellum Account on our website and comply with the current Agreement.
Account Registration Policies: You agree not to use aliases or methods to conceal your true identity or contact information. We reserve the right to accept or reject your registration at any time and for any reason. Castellum may modify, delete, or reclaim account details (including submissions) with or without your consent, as deemed appropriate at our sole discretion.
Acceptance of Terms: By submitting your account application or registering as a Partner, you acknowledge and fully accept the terms of the Agreement and other Castellum terms and conditions, including our Privacy Policy published on our website regarding our Services. You confirm that you are authorized to sign legally, possess full legal capacity, and have the necessary authority to bind the individual, company, or entity. Your submission constitutes a legally binding electronic signature and entry into a contract.
Compliance Requirements: Partner websites and/or traffic sources where Ads from the Offer are placed must be content-based and comply with applicable laws, regulations, and Offer requirements.
Access to Services: Depending on your chosen service, you will gain access to specific functionalities and support from Castellum to manage your campaigns effectively.
Modification of Terms: Castellum reserves the right to modify the terms of this Agreement, our Services, or any other related policies at our discretion. Updates will be communicated to Partner via email or through our platform.
Offer Placement and Management: Castellum manages the placement and management of Offers on behalf of Partner based on mutually agreed-upon terms and conditions.
Reporting and Analytics: Castellum provides reporting and analytics tools to monitor the performance of Offers and campaigns, ensuring transparency and performance optimization.
Policy on Prohibition of Multiple Accounts: Partner accepts that Castellum does not allow and prohibits multiple account openings for each Partner. You agree not to fill in an account application and/or register as a Partner more than one time and/or hold more than one account with Castellum for any reason and/or to benefit in any way from any marketing program/project and/or Offer/s available for the Partner by Castellum.
Should Castellum detect the existence of multiple account applications, registrations, openings, or holdings associated with a Partner, whether through technological means or other acceptable methods determined solely by Castellum, Castellum reserves the right to take the following actions at its discretion. Castellum may prohibit access to, suspend, ban, or close any such multiple accounts or the main account of the Affiliate, manage all accounts accordingly or implement any other actions and measures deemed appropriate by Castellum. These actions may be taken irrespective of the reasons or intentions behind the creation of multiple account applications, registrations, openings, or holdings. In the event that any account belonging to the Partner is denied access, suspended, banned, or closed for any reason, including but not limited to violations of prohibited activities, the Partner acknowledges and agrees not to attempt to create a new account, re-register, or hold any additional accounts for the same or any other prohibited activities.
Standards for Traffic Sources, Website/s, and Content: Traffic source/s, website/s, and content must uphold high standards and refrain from hosting or promoting any content that is deemed inappropriate or illegal. This includes material that infringes upon the rights of third parties or violates any applicable laws, as determined solely by Castellum. Prohibited content includes, but is not limited to:
Explicit or adult content, including pornography; promotion of illegal activities such as counterfeiting, hacking, or phishing; content promoting hate speech or discriminatory views based on race, ethnicity, religion, gender, sexuality, or personal beliefs; violence, profanity, obscene language, or content that incites harm or threatens physical violence; promotion of illegal substances, drugs, or related paraphernalia; distribution of adware, malware, viruses, or phishing schemes; misleading information or false claims aimed at deceiving users; sale or promotion of weapons, military equipment, or related items; false investment advice or schemes prohibited by law; material that defames, abuses, or threatens harm to individuals or groups; violation of intellectual property assets (branch name, trademarks, logo, etc); unauthorized distribution of software or digital content (e.g., pirated software, torrents); activities related to hacking or unauthorized access (e.g., phishing, spoofing); actions for manipulating user traffic through spoofing or redirection; any other activities deemed inappropriate at the sole discretion of Castellum. Misleading ads or materials that contain false information for users are strictly forbidden.
Enforcement of Non-Acceptable Business Practices: Castellum enforces non-acceptable business rules for Partner, including activities related to terrorism, money laundering, sanctions violations, and prohibited content like racist or pornographic material. Prohibited Business Practices include, but is not limited to:
Involvement with organizations linked to terrorism, military operations, or the manufacture and sale of arms or ammunition; engagement in activities involving money laundering or the financing of terrorist activities, whether by knowledge or suspicion; any involvement in criminal offences or activities suspected thereof; affiliation with parties or individuals subject to sanctions or similar restrictive measures; conducting business or trade in countries under embargo or stringent trade control restrictions; production or promotion of content that includes racism, pornography, extremist ideologies, or pressure group propaganda; operating without the necessary regulatory licenses in industries requiring compliance; participation in political organizations or activities that could compromise legal compliance or neutrality.
Prohibited Use of Tools and Resources: Partner must not use tools, inventory, or campaign preferences provided by Castellum in any misleading or fraudulent manner. Castellum assumes no responsibility for the misuse of these resources.
Advertiser Software Requirements: Should the Advertiser provide software for a Campaign, it must be devoid of any spyware or malicious software and adhere to the terms of this Agreement. The Advertiser may validate this by providing a duly signed SSL or Code sign certificate. The Advertiser acknowledges and agrees that Castellum may immediately halt a Service, Offer, or Campaign if the Advertiser supplies inappropriate content as outlined in this clause 2. To ensure compliance with clause 2, the Advertiser must inform Castellum in writing of any changes to the Links and content that might be considered inappropriate. To qualify as an Advertiser for software or any application (API), the software or application (API) must adhere to these criteria:
It is prohibited from generating or facilitating unsolicited bulk commercial email; distributing viruses, worms, Trojan malware, corrupted files, or any other harmful or deceptive materials (e.g., malware); modifying, disabling, disrupting, or bypassing any component of third-party software or Advertisement Services; must not serve any unlawful, invasive, infringing, defamatory, or fraudulent aims; the Advertiser agrees to take all reasonable measures to prevent unauthorized use of its software or application and promptly notify Castellum of any unauthorized use or access to the software or application of which it becomes aware; should refrain from violating, or inciting the violation of, the legal rights of others; the Advertiser’s software or application should only be installed with the consent of the end-user and must allow for its removal without requiring special additional programs.
Content Review: Castellum reserves the right, but is not obligated, to review the Links for prohibited content and may remove or relocate (without notice) any content or Advertisers at its sole discretion for any reason, including but not limited to content that, in Castellum opinion, violates this Agreement, or may harm or threaten the rights, safety, or well-being of other Advertisers, Affiliates, or third parties. If Advertisement/s containing such content are identified, Castellum reserves the right to take the following actions: withhold payment for the entire Campaign, retain the account balance and any other compensation, initiate immediate legal action against the Advertiser, or impose a financial penalty commensurate with the damages incurred by Castellum. The Advertiser agrees to defend, indemnify, and exempt Castellum, its affiliates, and representatives from any damages, liabilities, costs, and expenses, including attorneys’ fees, arising from claims, judgments, or proceedings initiated by third parties.
Disclaimer on Support and Services Provided: Any support, assistance, or service provided to the Partner by Castellum, its officers, support team, or any other personnel should be regarded by the Affiliate as informational only. Such support or service during the provision of the Services themselves, should not be interpreted as advice, recommendations, or offers for any service, regardless of its type or form. Furthermore, any past performance data mentioned does not guarantee or predict future results. Castellum does not consider your personal goals or financial situation. Castellum does not guarantee the accuracy or completeness of the information provided and assumes no liability for any losses arising from actions taken based on any presumed recommendations or information given by Castellum staff. Opinions expressed are subject to change without notice and may be personal views of the individual staff members, not necessarily reflecting those of Castellum. No communications may be reproduced or distributed further without Castellum’s prior permission.
Communication Protocols and Account Usage Guidelines: For any communication between the Affiliate and Castellum (including its officers, support team, or any other personnel) to be recognized as information provided by Castellum as part of their Services, it must be conducted through Castellum’s authorized channels. These channels include the email address registered with Castellum. Any information exchanged through other communication methods will not be considered official Castellum communication or part of the Services provided. Castellum and the Affiliate agree that any information shared through unauthorized channels is not Castellum’s responsibility, and Castellum will not be liable for it. You may not transfer your account without explicit written permission from Castellum. Use of another person’s account or password without permission is prohibited and Castellum is not liable for any resulting loss or damage.
Supervision, Error Reporting, and Discretionary Support for Ad Campaigns: Castellum will supervise, document, and review each approved Ad Campaign/s and(or) Offer/s. Should any errors occur within a Campaign, Castellum will report them for correction to ensure the Campaign proceeds as planned. Castellum may also provide support and recommendations during the Campaign’s duration at its discretion. Castellum does not warrant (1) the exact placement, position, or timing of any Ad/s, or (2) a guaranteed number of impressions, publications, conversions, or clicks on any Ad/s within its Network. Castellum reserves the authority to alter the layout of its Network, website, and application, update its Content, adjust the service list, modify or add scripts, software, and other resources used in the Network/Program, and amend server applications at any time, with or without advance notice. Additionally, Castellum may inform the Advertiser about Network/Program developments and promote its Service and activities.
Ad Placement
The Affiliate is responsible for placing Ad/s from Castellum Network only on website/s and(or) Traffic source/s that comply with all the requirements specified in the Offer. If Ads are placed on website/s and(or) Traffic source/s that violate these requirements, Castellum may withhold payments for the specific Offers involved or all Offers the Affiliate is participating in, pursue immediate legal action, and/or impose a monetary fine commensurate with the damages incurred by Castellum.
While Castellum does not monitor or control the activities or content on your websites or traffic sources, we reserve the right to reject services, delete your account, and withhold or freeze all fees and remunerations if you engage in fraudulent or illegal activities. The Affiliate is solely responsible for the development, operation, maintenance, and content of their website/s and(or) Traffic source/s.
The Advertiser must submit content for all ad types by the specified deadline in this Agreement or as communicated by Castellum. Unless agreed in writing, ad placement on Castellum Network is at Castellum’s discretion. If the Advertiser’s creatives do not meet Castellum’s standards, Castellum may cancel, suspend, or terminate the ad campaign and this Agreement, withhold payments, and seek damages. The Advertiser agrees that Castellum may offer prelander creatives to Affiliates, subject to pre-approval. If the Advertiser requests campaign modifications before an offer is created or launched, Castellum will implement them. Once an offer is launched, modifications can only be made within 48 hours of the request. After finalizing an ad campaign or approving an offer, the Advertiser has fourteen (14) days to raise issues. After this period, Castellum is not obligated to address any disputes.
Before launching an Ad campaign, both parties must agree in writing on conversion details. Failure to do so waives the Advertiser’s right to dispute or withhold payment based on later-defined metrics. Castellum does not verify or control: (1) content generated by or for the Advertiser; (2) Advertiser-provided links; (3) properties linked in content; or (4) the Advertiser’s services. The Advertiser is solely responsible for link functionality and must promptly notify Castellum of any issues to avoid liability. Upon content submission to the Castellum Network, Castellum has the right to delete copies for storage and publication purposes. By submitting content to Castellum, the Advertiser grants non-exclusive rights for the use, reproduction, distribution, and creation of derivative works for promotional purposes. Castellum may retain archival copies of deleted Advertiser content indefinitely.
Digital Performance Tracking
The Service will be utilized on a monthly cycle. For the purposes of this Agreement, a calendar month is defined as the reporting period (“Reporting Period”). Throughout the month, Affiliates can monitor their online reports within the Castellum reporting system in their accounts. These reports are preliminary and subject to adjustment within thirty (30) days following the end of the Reporting Period. We will employ commercially reasonable methods and practices to direct and measure traffic. Offers may be modified at any time by the Castellum team to align with the Advertiser’s ad-serving statistics. At the end of the Reporting Period, the reports will be finalized, and within the next sixty (60) days, they will reflect the definitive earnings figures. For clarity, the Castellum reporting system (stats) will be considered authoritative in all instances.
The cost associated with using the Service is determined by the number of Offers completed during the reporting period, based on Qualified Actions generated as per Castellum reporting system. This data is available in your account. All billing and delivery reports are solely based on Castellum reporting statistics. If the Affiliate detects any discrepancies in Castellum reporting system, a detailed report must be submitted to Castellum within three (3) calendar days of receiving Castellum reports. Failure to do so will result in Castellum not being held responsible for any discrepancies, and earnings will be calculated based on its reporting system. Should there be a disagreement over the discrepancy, Castellum statistics and reports will be considered final.
Castellum is not liable for actions taken by providers, including transaction fees, commissions, or currency exchange fees. All payments will account for such fees if applicable. Affiliate must handle all taxes applicable to the Services provided, excluding those related to Castellum income.
Affiliate must maintain accurate payment details in their Service account. Should details change, Affiliate must notify Castellum via email at least 14 days before the payment due date. Affiliate is solely responsible for all tax liabilities arising from Program participation.
Advertisers must continuously monitor the quality of traffic received through Castellum’s Services and report any low-quality traffic in writing within 7 days of receipt. Castellum will investigate these reports and determine if the traffic is of low quality, based on sufficient proof and at their discretion.
Advertisers agree to fully pay for (1) all traffic not reported as low quality, (2) low-quality traffic reported after the 7-day period, (3) traffic Castellum determines is not low quality, and (4) all post-back conversions.
If an Advertiser identifies a discrepancy in Castellum’s reporting system for a Reporting Period, they must submit a detailed report within three (3) calendar days of receiving Castellum’s server reports. Failing this, Castellum will not be liable for discrepancies, services will be deemed rendered, and earnings calculated based on Castellum’s reporting system. If discrepancies cannot be resolved, Castellum’s reporting system will prevail.
Castellum offers payments through various payment service providers. Advertisers can choose any available provider but agree that Castellum is not responsible for any actions by the provider, including transaction fees, banking commissions, or currency fees. All payments to Castellum must account for these fees and commissions if applicable.
Advertisers are responsible for all applicable taxes related to ad services. Advertisers shall indemnify Castellum against any losses incurred due to payments made to Castellum.
Advertisers must set spending limits and budgets with a Castellum representative. They must monitor and inform Castellum in writing about actions needed to optimize campaigns. Payments are based on Castellum-issued invoices, either as prepayments or post-payments.
Advertisers agree that credit card and billing information provided to Castellum may be shared with third parties, such as payment processors and credit agencies, for credit checks and payment processing. Castellum is not liable for third-party use or disclosure of billing information.
Advertisers are responsible for any pricing, bid, ad unit value, bidding term, account configuration, or category classification errors that result in completed transactions and must pay associated costs. Advertisers acknowledge that all completed transactions are final, and Buyer Errors must be reported within 24 hours.
Castellum may discontinue service, withhold payment, and terminate the agreement without liability if the Advertiser breaches the agreement. Fraudulent or illegal activities, or any violations specified in Section 5, are considered material breaches. Castellum may adjust account balances for bonuses, transaction fees, technical reasons, fraudulent activity, or additional agreements.
Commitments and Responsibilities
Compliance and Content Standards
You affirm that your website/s and(or) Traffic source/s, Ad/s fully comply with all relevant laws and adhere to the terms stipulated in this Agreement. It does not contain or promote any content that is defamatory, abusive, violent, discriminatory, obscene, infringing, sexually explicit, or illegal, including violations of intellectual property rights.
Content Restrictions
You agree not to endorse or link to any website/s and(or) Traffic source/s, Ad/s that feature pornographic, racial, political, ethnic, software piracy, hacking, hate speech, or objectionable content.
Legal Obligations, Ownership and Rights
You undertake not to engage in any unlawful activities prohibited by applicable laws. You warrant that you have the legal right to participate in Offers and to use and distribute all Ad/s, content, link/s, copyrighted material, trademarked material/s, product/s, and service/s displayed on your website/s and(or) Traffic source/s. You also agree not to mislead or deceive when promoting advertiser offers and/or Ad/s, ensuring that you possess the necessary rights, authority, and capacity to enter into this Agreement.
Exclusive Offer Placement
Throughout the duration of this Agreement and beyond, you commit not to re-broker any Castellum Offers or place them on other CPA Affiliate networks in any form, following Castellum policies.
Integrity of Service and Data
You will refrain from altering, modifying, concealing, disabling, or otherwise tampering with the Service, Ad/s, network, tag/s, source code/s, link/s, pixel/s, module/s, or any other data provided by or obtained from Castellum that enables measurement of Ad/s performance and Service delivery (“Site Data”).
Termination and Data Usage
Upon Castellum’s instruction or termination of this Agreement, you agree to promptly discontinue and remove any use of Site Data provided by Castellum.
No Assurances
You confirm that Castellum does not guarantee specific outcomes or results from your use of the Service.
Adherence to Offer Guidelines
You commit to strictly adhering to the requirements outlined in the Program and within Castellum Network’s Offer guidelines when promoting Ad/s.
Liability for Fraudulent Activities
If fraudulent activities are detected on your website/s and(or) Traffic source/s, Ad/s and you do not take corrective action, you will be held accountable for all associated costs and legal fees arising from such activities.
Obligation to Avoid Technology Overload and Security Features Interference Prohibition
You agree not to engage in any actions that could unreasonably burden or excessively strain our technology infrastructure, as determined solely by us. You shall not tamper with, circumvent, or otherwise disrupt the security features of our Service or any mechanisms that restrict the usage or duplication of any part of our Service.
Authorization for Payment Information Transfer
By agreeing to this, you authorize Castellum to directly transfer payment information to your financial institution upon receipt of a request.
Content Compliance Guarantee
You guarantee that your website/s and(or) Traffic source/s do not contain any sexually explicit material involving individuals under the age of eighteen (18) or suggestive of their being underage.
Non-Responsibility for Errors and Undesirable Outcomes and Technical Platform Compatibility Obligation
Castellum will not be held liable for losses resulting from errors or undesired outcomes not attributable to Castellum’s fault, and no compensation will be provided. Affiliate agrees to ensure that their technical platform supports traffic directed to Ad/s or Offers through our Service. Castellum assumes no responsibility for consequences if your technical platform cannot support the traffic to your website/s and(or) Traffic source/s. You are responsible for testing and optimising your website/s and(or) Traffic source/s for compatibility with various web browsers, devices, or systems.
Prohibition on Unauthorized Representations
You are prohibited from making any representations, warranties, or statements about Castellum, advertisers, or their products or Service/s, except as explicitly authorized in this Agreement.
Branding and Endorsement
Ensure that your website/s and(or) Traffic source/s do not resemble the appearance of Castellum or create the impression of endorsement by Castellum without prior written permission.
Compliance Obligations and Adherence to Guidelines
Adhere to all obligations, requirements, and restrictions outlined in this Agreement, as well as comply with all applicable laws, rules, and regulations pertaining to your business, website/s and(or) Traffic source/s, or use of the Service. Follow all terms, conditions, guidelines, and policies set forth by Castellum and applicable Offer/s.
Advertiser Responsibilities and Compliance
The Advertiser asserts the following commitments (1) adhering to the highest ethical and commercial standards; promptly adhering to Castellum’s requests to avoid placing Advertisements in contexts that could damage Castellum’s reputation. Castellum reserves the right to cease services, withhold Advertiser remuneration or account balances, or levy fines for breaches of this Agreement. Accepting full responsibility where Campaign/Offer/Contents may be considered illegal in any applicable jurisdiction. Both Parties waive any warranties and representations not explicitly stated in this Agreement, excluding claims for fraud. You warrant having all necessary rights, licenses, and permissions to initiate and manage ad campaigns, display Advertisements, and operate Links and websites in chosen jurisdictions. Failure may result in immediate termination of this Agreement, withholding of remuneration or account balances, and claims for damages. Advertiser is responsible for ensuring its servers can support traffic directed through our Service; Castellum assumes no responsibility for consequences if servers cannot handle such traffic.
Privacy Policy, Terms and Conditions Disclosure
Ensure that a comprehensive privacy policy is prominently displayed and accessible to end-users before collecting any personally identifiable information. This policy must comply with all relevant laws and disclose all practices related to information collection, use, and sharing, including the provision of such information to Castellum and advertisers as intended. Make available to end-users any terms and conditions associated with Offer/s as specified by Castellum, or as required by applicable laws.
Acknowledgement of Damages for Breach
Recognize that violations of this Agreement may cause significant material and business losses to Castellum, estimated at a minimum of 1,000 EUR per breach. Castellum reserves the right to recover damages equivalent to the actual losses incurred due to your breach, which may be deducted from your account balance in the Service.
Fraud Prevention and Prohibited Activities
Prohibition of Fraudulent Activities: You agree not to engage in any form of cheating, fraud, or deception against Castellum. This includes using unauthorized means, programs, tools, devices, or arrangements to manipulate the services provided or to falsify information related to generating compensation. You are prohibited from employing methods that redirect end-users to your website or traffic sources after they have already chosen to leave. This includes:
- Framing ad-banner click-through destinations.
- Using invisible iframes.
- Auto-spawning browsers.
- Running automated programs (e.g., “spiders” or “bots”).
- Automatically redirecting users to generate fraudulent click-throughs or impressions.
- Placing ads on pages that automatically reloads.
- Castellum retains sole discretion in determining what constitutes fraudulent activity and reserves the right to take appropriate actions against affiliates found engaging in such activities.
If Castellum suspects that you are engaged in fraudulent activity, we reserve the right to suspend your participation in all or specific Offer/s, ban your Account, withhold your account balance, and pursue legal action to recover damages caused by the violation. Any Offer/s and Service/s conducted on your website/s and(or) Traffic source/s involving fraudulent activities are ineligible for payment.
Security and Privacy of Information
Privacy Policy Requirement: You must maintain a clear and comprehensive privacy policy on your website/s, outlining the collection, use, storage, and disclosure of personal information, including email addresses. The policy should also provide procedures for users to opt out if they choose.
Cookie Consent Compliance: Your privacy policy must be easily accessible to end users and disclose that third-party advertisers may place cookies on visitors’ browsers. You must detail the use of technologies like cookies or local shared objects on your website/s. An opt-in system for users in the European Union is required, ensuring they give informed consent before these technologies are used.
Legal Compliance Affirmation: You affirm your commitment to comply with all applicable laws, regulations, and standards concerning privacy and data protection during the term of this Agreement. This includes adherence to EU and global data protection laws. You acknowledge and release Castellum from any liability arising from non-compliance with these obligations and legal requirements regarding data protection.
Liability Limitations and Waiver
Castellum assumes no liability for any damages resulting from your use of the Service/s, operation of Program Creatives/Ad Tech/Tools, participation in Offer/s, or placement and/or display of any Ad/s on your website/s and(or) Traffic source/s, including efforts or actions undertaken to enhance your website/s and(or) Traffic source/s performance, whether undertaken with or without your consent. This includes, but is not limited to, issues such as broken images, and special, indirect, incidental, punitive, and consequential damages, even if Castellum has been advised of the possibility of such damages.
Castellum provides the Service/s on an “as is” basis without any warranties. The information, Offer/s, Ad/s, content, and other Service/s provided by Castellum are offered without warranty of any kind, whether express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. You use the Service/s and run programs at your own risk.
To the fullest extent permitted by law, Castellum disclaims all representations and warranties regarding the operation of the Service/s, the accuracy, completeness, or currency of information, Offer/s, Ad/s, and content provided by Castellum. Castellum does not guarantee that the information on this Service/s, Network, or website/s is accurate, complete, or current.
Castellum explicitly denies any liability regarding (1) claims associated with Advertisements, Campaigns, or any content, and (2) claims arising from the display of these Advertisements, Campaigns, or Content on various website/s, including but not limited to streaming sites, file-sharing platforms.
Responsibility for Claims
You agree to indemnify, defend, and absolve Castellum and its affiliated companies, subsidiaries, successors, and transferees from:
- Any and all claims, demands, liabilities, costs, and expenses (including reasonable legal fees) incurred by Castellum due to the misuse of the Service/s.
- Any claims arising from the improper functioning of a Program/s, Tool/s, Service/s, Campaign/s or carrying out Offer/s.
- Any claims resulting from the violation of any provision of this Agreement or other agreed terms between the parties.
- Any violation of any representation or warranty within this Agreement.
Transferability, Legal Framework, and Dispute Resolution
Transferability: Castellum reserves the right to transfer this Agreement to any subsidiary, affiliate, or business successor without the consent of the Partner. The Partner may not transfer or assign this Agreement or any rights or obligations under it without the prior written consent of Castellum, which shall not be unreasonably withheld. In the event of a transfer by Castellum, all rights and obligations under this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.
Legal Framework: This Agreement, including any disputes or claims (including those not based on contract) arising from or related to its subject matter or formation, shall be governed by and construed in accordance with the laws of Cyprus.
Legal Compliance: Each party shall comply with all applicable laws, regulations, and directives in performing its obligations under this Agreement. If any provision of this Agreement is found to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of the Agreement shall continue in full force and effect.
Amendments: This Agreement may only be amended or modified by a written instrument executed by both parties. Castellum reserves the right to modify this Agreement at any time. Continued use of the Services after such modification constitutes acceptance of the modified Agreement.
Validity Provision
In the event that any provision of this Agreement is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired thereby.
The parties agree that such invalid, illegal, or unenforceable provision shall be replaced by a valid, legal, and enforceable provision that comes closest to the original intention of the parties.
This Agreement shall continue in full force and effect, and the parties shall negotiate in good faith to amend the Agreement to achieve the original purpose to the maximum extent permitted by law.
We provide you a revocable, non-exclusive, non-transferable right to use the Castellum Service and access our Network/Program as per this Agreement.
Modifying, altering, or creating derivatives of Castellum Network, Services, or materials is prohibited. Unauthorized access is forbidden. We may revoke your license anytime with notice. This Agreement does not grant you rights to Castellum’s intellectual property. Any feedback you provide may be used by Castellum without compensation. All rights not granted are reserved.
Your use of the Service must adhere to copyright and intellectual property laws. You guarantee not to infringe on third-party rights and are responsible for any legal issues. Castellum disclaims control over advertiser content and is not liable for intellectual property rights violations.
Use of Intellectual Property
Grant of License
You are granted a limited, non-transferable, and revocable right to utilize the Castellum Service/s and access our Network solely through our website and Service, strictly by the terms outlined in this Agreement. This permission is exclusively for identifying your website/s and(or) Traffic source/s as part of the Castellum Service with the aim of enhancing sales through Offer/s.
Prohibited Actions
Modification, alteration, manipulation, or creation of derivative works of Castellum, its Network, Service/s, Offer/s, Ad/s, ad tech, graphics, creative, copy, or other materials, programs/tools owned by or licensed to Castellum, in any manner, is strictly prohibited.
Revocation of License
Castellum reserves the right to revoke this license at any time, effective upon notice (including via email or through your account). Except as expressly stated herein, nothing in this Agreement confers to you any rights to Castellum’s trademarks, service marks, copyrights, patents, or trade secrets.
Intellectual Property Rights
Any suggestions, comments, or recommendations provided to Castellum by you may be used by Castellum without any obligation for compensation. All rights not expressly granted herein are reserved by Castellum.
Compliance with Laws
Your usage of the Service/s must comply with all laws and regulations concerning copyright ownership and terms of intellectual property use. You represent, warrant, and covenant that you will not upload, download, display, perform, transmit, or otherwise distribute any content that infringes upon any third party’s copyrights, trademarks, or other intellectual property rights.
Responsibility for Violations
You further represent, warrant, and covenant that you will adhere to all laws governing copyright ownership and intellectual property use and accept full responsibility for any violations of applicable laws or infringement of third-party rights attributable to your actions.
Limitation of Castellum’s Liability
All parties acknowledge that Castellum does not have the authority or capacity to control Ad/s or content on Affiliate’s website/s and(or) Traffic source/s. Therefore, Castellum cannot be held liable for any breaches of third-party intellectual property rights or other rights arising from such content.
Conclusion of Agreement
The duration of this Agreement starts upon your acceptance and continues until terminated. Either party may terminate this Agreement with two (2) business days’ notice. Immediate termination will occur upon the dissolution or insolvency of either party or your breach of this Agreement. Castellum reserves the right to terminate Service/s and remove Offer/s and/or Ad/s at its sole discretion and at any time. Upon termination of your participation in any Offer/s or this Agreement for any reason, you must immediately cease all use, delete all Offer/s, Ad/s, and Castellum intellectual property, and stop representing yourself as a Partner for those Offer/s.
Castellum has the right to remove, cancel, suspend, stop, or terminate any Ad Campaign/s, Service/s, Offer/s, or this Agreement at its discretion. Castellum can immediately stop an Advertiser’s campaign or terminate this Agreement if: (1) the Service or Program is used to commit a crime; (2) the use of the Service or Program causes or risks losses for Castellum or any third party; (3) the Campaign likely violates the law; (4) advertiser fails to pay agreed fees despite reminders; (5) advertiser materially breaches this Agreement; (6) Advertiser becomes insolvent or enters liquidation. In such cases, Castellum may block the Account and withhold the remaining funds as a fine.
Advertisers can cancel, suspend, stop, or terminate an ad campaign and this Agreement only through a Castellumofficer, with written notice 48 hours in advance. If an Ad Campaign/s or Offer/s or this Agreement is cancelled, suspended, stopped, or terminated, the Advertiser must pay all revenue accrued to Castellum by the time of termination within 3 days of receiving an invoice. This Agreement also terminates immediately if either Party dissolves, becomes insolvent, or if the Advertiser breaches the Agreement. Upon termination, the Advertiser must immediately stop using and delete all Offer/s, Ad/s, and Castellum intellectual property, and stop representing themselves as a Castellum Partner.
Accounts will be blocked if inactive for more than three (3) months. A notification will inform you of your “Inactive account”. Following deactivation, you have 90 calendar days to restore your account by logging in and following the provided instructions. Failure to reactivate within 90 calendar days will result in permanent deletion of your account. Accounts with a balance of 0 EUR will be automatically blocked unless otherwise agreed upon by both parties. Accounts with a positive balance will have the remaining funds fully deducted.
Restricted Information Policy
Obligations of Confidentiality
For purposes of this Agreement, “Confidential Information” means any information disclosed by one party (the “Disclosing Party”) to the other party (the “Receiving Party”), The Receiving Party agrees to keep Confidential Information private and use it only as necessary to fulfill obligations under this Agreement. The Receiving Party must use at least the same level of care to protect Confidential Information as it does for its own similar information, but no less than reasonable care. Both parties agree to ensure that their professional advisors, auditors, or bankers who receive Confidential Information maintain its confidentiality as if they were a party to this Agreement.
Exceptions to Confidentiality
Confidentiality obligations do not apply to information that: (1) becomes public through no fault of the Receiving Party; (2) was already in the Receiving Party’s possession without restriction before disclosure; (3) is received from a third party without breach of confidentiality; (4) is independently developed without using the Disclosing Party’s information; or (5) has been consented to for disclosure in writing by the Disclosing Party. If the Receiving Party is required to disclose Confidential Information by judicial, regulatory, or governmental order, or by tax authorities, the Receiving Party must promptly notify the Disclosing Party, allowing them to contest or seek confidential treatment for the information.
Termination and Return of Confidential Information
Upon termination or expiration of this Agreement, the Receiving Party must, at the Disclosing Party’s request, either return all Confidential Information or certify its destruction, with prior authorization from the Disclosing Party.
Unforeseen Circumstances
In the event that either party is unable to fulfil its obligations under this Agreement due to unforeseen circumstances beyond its control, such as Acts of God, fires, storms, war, governmental actions, labour conditions, earthquakes, natural disasters, interruptions in internet services, or any other cause beyond reasonable control, the party affected shall notify the other party within three (3) working days from the date of occurrence, supported by appropriate evidence.
Non-Engagement Agreement
Advertiser commits to refraining from soliciting websites in the Castellum Network for the purpose of acquiring advertising space or conducting activities that might compete with Castellum’s efforts in managing such advertising spaces. Any violation of this agreement will be deemed a material breach.
Supplementary Provisions
The Agreement constitutes the sole and complete agreement between the parties concerning its subject matter, superseding all prior discussions conducted through officers, directors, salespersons, employees, or consultants. This Agreement serves as the primary legal document governing the parties’ relationship. In the event of any inconsistencies in the use of the Service/s or Program, this Agreement shall prevail. Each party is an independent contractor and not a partner, joint venture, or employee of the other. All notices shall be sent to the addresses provided by you during Service/s registration, via certified mail, fax, email, or courier.
Partner acknowledges that Castellum reserves the right to modify, amend, or terminate any program, Service/s, Offer/s, or Advertisement/s at its sole discretion. Notice of such changes will generally be provided to Partner at least twenty-four (24) hours in advance unless circumstances deemed urgent or emergency by Castellum necessitate immediate action. In such cases, Castellum will promptly notify Partner via email or through their account.
Castellum reserves the right to modify any terms and conditions of this Agreement at its discretion. Changes will be reflected on our website – www.castellum.ltd. The terms and conditions of the Castellum Partner Agreement (as published on www.castellum.ltd) govern from the date of signing or service provision, overriding any other terms or conditions related to services provided by Castellum.
The representations and warranties made by Partner in this Agreement, particularly in Section 13, will remain valid for a period of one (1) year following the termination date. No claim against Castellum for breach of any representation or warranty shall be enforceable if the alleged breach arises from a condition, fact, or matter disclosed to Partner or known by Partner prior to termination.
By entering into this Agreement, Partner confirms that it has not based its decision on any representations, warranties, or statements, whether written or oral, except those explicitly detailed in this Agreement, Privacy Policy, or other terms and conditions found at www.castellum.ltd. Partner further agrees that it shall not assert any rights or seek remedies arising from any representation, warranty, or statement not expressly stated in this Agreement.
Partner must submit any claims related to the Service/s or Program within 30 days from the conclusion of the Reporting Period. Failure to adhere to this deadline may result in Castellum declining to process the complaint, with all services deemed properly rendered. The headings of sections and subsections in this Agreement are included solely for the convenience of the parties and do not constitute a part of or affect the interpretation of this Agreement.
